When are the fees due for my BVI company?
If your BVI company was incorporated on or before 30 June, then it is considered a "First Half" company. First Half company fees need to be paid before May 31 each year. Second Half company fees need to be paid before November 30 each year. Due to the time taken for some money transfers, we strongly recommend you pay two weeks prior to these deadlines to avoid government penalty fees. You must notify AMS when sending money transfers so the payment can be allocated correctly to your account.
What do I need to do to resign as Director from a BVI company?
In order to resign as a Director, it is necessary for you to formally write to the Company resigning your position as a Director. The Company then needs to either via a Meeting of Directors or written resolution resolve to accept your resignation. Once done, the Company must advise AMS of the change to the Register of Directors and update the Register. If you are the sole Director, prior to your resignation taking effect, another Director needs to be appointed. The new Director (corporate or individual) will need to complete AMS's Due Diligence requirements before any change will be registered. AMS can assist with drafting relevant resolutions and letters. How do I transfer shares (change shareholder) in my BVI company?
A Share Transfer Form should be completed and signed by both parties. The company should convene a meeting either in person, by telephone or by written resolution to resolve and approve the transfer of shares. In addition it should resolve to cancel the existing share certificate and resolve to issue the new share certificate. If the new shareholder is not a current client or if AMS does not hold appropriate Due Diligence, they will need to complete a Client Information Form (KYC) (available from our Library) and return to AMS together with the required supporting documents. AMS General Terms & Conditions will also need to be signed and returned. AMS can assist in preparing relevant letters, resolutions, share transfer forms and new share certificates.
